Standard Terms of Agreement

Terms of Engagement

When Macnaughton McGregor Ltd is engaged by a client, the scope of work will be defined in the latest version of the proposal submitted to that client. The associated Professional Fees and the treatment of expenses and materials will also be defined in the last submitted proposal.

For work within the UK all Professional Fees and expenses incurred in the provision of professional services that are subsequently recharged to the client are subject to VAT at the prevailing rate. 

Deposit Payment

On booking, an invoice will be raised for 25% of the total professional fee for the contract. This will rise to 50% for work outside of the UK. 

The deposit payment will become due a minimum of 7 (seven) days prior to the agreed delivery date. Failure to do so may result in Macnaughton McGregor Ltd withdrawing from the contract.  Macnaughton McGregor Ltd will not be held liable for any inconvenience or expenses incurred by the client as a result of this action.


Outside the deposit payment detailed above, invoices will be settled within 30 (Thirty) days from date of invoice. Failure to pay within the terms may result in interest at the banking base rate being charged on the whole invoice amount for every extra month (or part month over 1 month). 

Macnaughton McGregor Ltd will endeavour within reason to ensure that all transactions and presentations will be performed within our internal policies, procedures and codes of practice. However, no responsibility can be accepted for cancellation or postponement that is outside our control.

Postponement and Cancellation

If a confirmed booking is postponed or cancelled the following terms will apply:

Where the date of receipt of notification of postponement or cancellation is:

15 – 28 days before the event:              25% of the total agreed fee.

8 – 14 days before the event:                50% of the total agreed fee.

7 days’ notice or less:                            100% of the total agreed fee.

Outside of the above timescale, where a programme is cancelled or postponed a charge may apply in appreciation of the research and development already undertaken by Macnaughton McGregor Ltd. Any travel and accommodation costs, in whole or in part, that have already been incurred by Macnaughton McGregor Ltd and cannot be refunded will be charged at 100%.
